1. Acceptance of Terms

By accessing injoicreative.com or engaging with injoi Creative in any capacity, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, please do not use this site or our services. These Terms apply to all visitors, clients, prospective clients, and collaborators.

2. Services Overview

injoi Creative — a division of injoi LLC — provides branding, marketing strategy, creative direction, consulting, publishing support, and related creative and communications services.

All specific deliverables, timelines, fees, and scope of work are defined in separate written client agreements (Statements of Work or Service Agreements). In any conflict between these Terms and a signed client agreement, the client agreement controls with respect to the specific project.

3. Intellectual Property

Ownership of creative work is governed as follows:

  • injoi Creative Retains Ownership of:
  • All creative frameworks, methodologies, templates, and proprietary processes
  • Preliminary concepts, proposals, mood boards, and unused design directions
  • Source files, working files, and native project files unless otherwise agreed in writing
  • Any work product not explicitly transferred to the client in a signed agreement

Client Receives:

  • A limited, non-transferable, non-exclusive license to use final deliverables for their intended purpose as specified in the applicable agreement
  • Full ownership of final deliverables only upon receipt of payment in full and only where explicitly agreed in writing

Third-Party Assets: Deliverables may incorporate licensed stock imagery, fonts, or software. Client is responsible for ensuring ongoing compliance with applicable third-party licenses for their use of deliverables.

Unauthorized use, duplication, resale, sublicensing, or redistribution of deliverables or injoi Creative’s proprietary materials is strictly prohibited and may result in legal action.

DMCA Notice: To report copyright infringement, contact support@injoi.com with full identification of the work, the infringing URL, your contact information, and a good-faith statement under penalty of perjury.

4. Client Responsibilities

Clients agree to:

  • Provide accurate, complete, and timely information, materials, and approvals
  • Actively participate in the creative process as required
  • Honor all payment terms and contractual obligations
  • Ensure that materials provided to injoi Creative do not infringe any third-party rights

Project outcomes are directly influenced by client participation, responsiveness, and the quality of materials provided. Delays caused by the client may affect deliverables, timelines, and fees.

5. Payments

All payments for injoi Creative services are processed through injoi LLC. Payment terms are specified in individual agreements. Failure to remit payment may result in suspension of services, withholding of deliverables, and/or collection proceedings.

6. No Guarantees of Outcomes

While injoi Creative brings deep expertise and commitment to every engagement, we do not guarantee specific business, financial, marketing, or creative outcomes. Results depend on factors including but not limited to market conditions, client execution, audience response, and platform performance.

7. Limitation of Liability

To the fullest extent permitted by applicable law, injoi LLC and its officers, employees, contractors, and affiliates shall not be liable for:

  • Business losses, lost profits, or loss of revenue
  • Loss of data, goodwill, or business opportunity
  • Indirect, incidental, special, punitive, or consequential damages

Total aggregate liability for any claim arising out of or related to services rendered shall not exceed the total amount paid by the client for the specific project giving rise to the claim in the three (3) months preceding the claim.

8. Confidentiality

injoi Creative treats all client information, strategies, business data, and communications as confidential and will not disclose such information to third parties without written consent, except as required by law.

Clients agree to maintain the confidentiality of injoi Creative’s proprietary methodologies, frameworks, pricing, and internal processes. Breach of this obligation may result in injunctive relief in addition to other available remedies.

9. Third-Party Tools & Platforms

injoi Creative may recommend, integrate, or utilize third-party platforms and tools (including email marketing systems, design software, CMS platforms, and social media tools) as part of service delivery. We are not responsible for the performance, security, data practices, downtime, or policy changes of third-party platforms.

10. Portfolio & Attribution

injoi Creative reserves the right to display completed work in its portfolio and promotional materials unless the client has requested otherwise in writing prior to project completion.

11. Termination

Either party may terminate services in accordance with the terms of the applicable written agreement. injoi Creative reserves the right to immediately suspend or terminate access and services if these Terms are materially violated. Fees for work completed prior to termination remain due and payable.

12. Privacy & Data

Use of this website and engagement with injoi Creative services is governed by our Privacy Policy, incorporated herein by reference. We comply with the Oregon Consumer Privacy Act (OCPA) and applicable provisions of the California Consumer Privacy Act (CCPA).

13. Accessibility

14. Modifications to These Terms

We may update these Terms at any time. Changes will be posted on this page with a revised Effective Date. Continued engagement with our website or services after changes constitutes acceptance. For active client engagements, we will endeavor to provide advance notice of material changes.

15. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law provisions.

Prior to formal proceedings, both parties agree to attempt resolution in good faith by contacting support@injoi.com. Unresolved disputes shall be submitted to binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules, with venue in Deschutes County, Oregon. Each party shall bear its own fees unless the arbitrator awards otherwise.

These Terms do not prevent either party from seeking emergency injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.
